The procedure for the transfer of a branch of business

Companies registered in the Commercial Register, limited partnerships for collective investments, investment companies with variable capital and sole proprietorships registered in the Commercial Register may transfer their assets or parts thereof with assets and liabilities to other legal entities under private law. For this purpose, the supreme management or administrative bodies of the legal entities involved in the transfer of assets shall conclude a specific agreement which must meet the conditions set forth in Art. 70 et seq. of the Federal Act on Merger, Demerger, Conversion and Transfer of Assets and Liabilities. The transfer of assets must be notified to the Commercial Register Office of the transferring legal entity.
