An agent is someone who undertakes on a permanent basis to negotiate the conclusion of business for one or more principals or to close a business on their behalf, without being bound to them by an employment relationship. The Agency Agreement shall govern the relationship between agent and principal by ensuring that such relation is not subject to labour law. In addition, the agreement includes an exclusivity clause (to be omitted unless requested by the parties) and a clause on the agent's conduct of business rules, in addition to standard clauses on the validity of the contract, duration and remuneration.
